terms + conditions

these terms + conditions (“terms”) govern all courses, programs, and services provided by the pseudo studio LLC (“company,” “we,” “us,” or “our”) to you (“client,” “you,” or “your”). by enrolling in a course or program, or by booking, purchasing, or participating in any service, you agree to these terms.

courses

ownership + intellectual property

all course content—including videos, audios, pdfs, written materials, visuals, frameworks, practices, templates, and teachings—is the intellectual property of the pseudo studio LLC. all rights are reserved.

by enrolling, you receive a non-transferable, non-exclusive, limited-use license for personal use only. you may access the material solely for your own learning. you may not reproduce, modify, share, teach, publish, license, sublicense, distribute, or otherwise use the content for commercial or instructional purposes without prior written permission from the pseudo studio LLC.

permitted use

you may view course materials via the provided dashboard, download or print resources for your own private use (when explicitly allowed), and access them for the lifetime of the course’s availability.

you may not share login credentials, reproduce or post course content publicly, or teach or repurpose the material in any offering (such as workshops, books, or courses) without a license or collaboration agreement. violation of these terms may result in immediate removal from the course and potential legal action.

access policy

access is granted to the individual who registers and pays for the program. unless otherwise stated, access is available for the lifetime of the course’s availability. the pseudo studio LLC reserves the right to update, modify, or discontinue any course at any time. access may be revoked without refund if these terms are violated.

refund policy

all digital products, including courses and programs, are non-refundable. because enrollment provides immediate access to proprietary intellectual property, refunds will not be issued once access is granted. please review all program details carefully before enrolling.

conduct clause

participants are expected to respect intellectual property, course rules, and fellow participants. disruptive behavior or misuse of materials may result in removal without refund.

email communications

by enrolling, you agree to receive course-related email communications, including updates and supplementary resources. you may unsubscribe at any time, though this may limit your ability to receive course updates.

services

services covered

the consultation is a one-time session conducted over Google Meet unless otherwise requested. the purpose of the consultation is to provide professional guidance and recommendations based on information you share.

the audit is a structured review of your business, brand, space, system, or project. findings and recommendations will be provided verbally and/or in writing. audits are conducted over Google Meet unless otherwise requested.

the build is a longer-term design and implementation engagement where we co-develop systems, frameworks, or deliverables. the scope and deliverables will be agreed upon in writing before commencement. sessions are conducted over Google Meet unless otherwise requested.

scheduling + attendance

all sessions must be scheduled through our booking system. you are responsible for ensuring you have a reliable internet connection, updated software, and access to Google Meet. missed or late attendance does not extend the scheduled time. if you are more than ten (10) minutes late, the session is considered canceled and no refund is granted. both parties commit to beginning and ending on time.

payments

all fees must be paid in full prior to the scheduled service unless otherwise agreed in writing. services are non-refundable once delivered. for cancellations and refunds, see “cancellations and refunds.” by booking, the client authorizes the pseudo studio LLC to charge the payment method on file for all service fees and applicable cancellation fees.

intellectual property

any materials, frameworks, tools, or systems provided remain the intellectual property of the pseudo studio LLC. you receive a non-exclusive, non-transferable license to use materials solely for your personal or business purposes. redistribution, resale, or misrepresentation is prohibited.

client responsibilities

you agree to provide accurate, complete information relevant to the engagement. you acknowledge that our services are advisory in nature. implementation of recommendations remains your responsibility.

cancellations and refunds

consultations and audits may be rescheduled or cancelled with no fee if notice is given at least twenty-four (24) hours in advance. builds may be cancelled by written request; refunds, if any, will be determined based on the percentage of sessions completed. if a session is cancelled or rescheduled with less than twenty-four (24) hours’ notice, a fee equal to fifty percent (50%) of the service cost will be charged. no refunds are offered once the service has been delivered.

general terms

confidentiality

both parties agree to keep confidential any non-public information shared during the engagement.

no professional advice

services are advisory and educational. the pseudo studio llc does not provide legal, medical, financial, architectural, or engineering advice. you should obtain your own licensed advisors where necessary.

accessibility

upon request, the pseudo studio LLC will enable live captions for google meet sessions and provide reasonable accommodations to ensure accessibility.

limitation of liability

all courses and services are provided “as is.” while we use best professional judgment, results cannot be guaranteed. in no event shall aggregate liability exceed the total fees paid by the client for the specific course or service giving rise to the claim. in no event shall aggregate liability exceed the total fees paid by the client for the specific course or service giving rise to the claim.

force majeure

neither party is liable for delays or failures caused by events beyond reasonable control, including illness, internet outages, platform failures, or acts of god.

dispute resolution + arbitration

any dispute shall be resolved through binding arbitration in Washington County, Minnesota, administered by the American Arbitration Association under its Commercial Arbitration Rules. judgment on the award may be entered in any court with jurisdiction.

class action waiver

you agree that any claims will be brought on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

governing law

these terms shall be governed by and construed in accordance with the laws of the state of minnesota, without regard to its conflict of law provisions.

amendments

we reserve the right to update these terms at any time. the version in effect at the time of enrollment or booking will apply to your engagement.
